Terms of Service

These Terms of Service ("Terms") are an agreement between you and Scaleify LLC, a limited liability company organized under the laws of the State of Wyoming, United States, doing business as Pro Marketing Desk ("we", "us", or "our"). They govern your access to and use of our websites, software, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Pro Marketing Desk is a local marketing management platform that helps marketing professionals and businesses manage business profiles, publish posts and photos, monitor and respond to reviews, and generate performance reports for the business locations they manage.

2. Accounts and eligibility

You must be at least 18 years old and use the Service for business purposes. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information.

3. Authorization to manage connected profiles

You represent and warrant that you are authorized to manage each business profile and business location you connect to the Service, whether the profile belongs to your own business or to a client that has engaged you to manage it on their behalf. You will maintain that authorization for as long as the profile remains connected, and you will promptly disconnect any profile or location you are no longer authorized to manage. Where you connect a profile on behalf of a client, you represent that you have obtained all rights, consents, and authorizations from that client necessary for us to access and process the profile's data as described in our Privacy Policy.

By connecting a Google Business Profile or other third-party account, you grant us the authority to access, read, modify, and publish content to that connected profile on your behalf — and on behalf of each business location you manage — solely to provide the Service at your direction. You are responsible for ensuring that any content you create, schedule, approve, or publish through the Service complies with applicable law and the policies of the relevant third-party platform.

4. Google data, revocation, and deletion

Our access to data from Google APIs is governed by our Privacy Policy and by Google's API Services User Data Policy. You may revoke our access to your Google data at any time from your Google Account security settings. Upon revocation, disconnection, or termination of your account, we delete the associated Google user data from our systems within 30 days, except where retention is required by law.

5. Subscriptions, fees, and renewal

Paid features of the Service are billed in advance on a subscription basis at the prices and intervals presented at the time of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time from your account settings or by emailing support@promarketingdesk.com; cancellation takes effect at the end of the current billing period, and you will retain access until then. We will give you advance notice before any price change takes effect at your next renewal. Except where required by law, fees are non-refundable.

6. Acceptable use

You agree not to:

• use the Service to publish content that is unlawful, deceptive, infringing, or that violates third-party platform policies;
• connect or attempt to manage profiles you are not authorized to manage;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its related systems;
• resell, sublicense, or misuse the Service except as expressly permitted by your plan.

7. Intellectual property

We retain all rights in the Service, including software, design, and branding. You retain all rights in the content you submit. You grant us a limited license to host, process, and transmit your content solely to provide the Service.

8. Third-party platforms

The Service interoperates with third-party platforms, including Google Business Profile. We are an independent platform and are not affiliated with, endorsed by, or sponsored by Google. Google and Google Business Profile are trademarks of Google LLC. Third-party platforms may change or restrict their services at any time, and we are not responsible for such changes.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any particular marketing outcome will be achieved.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the claim.

11. Indemnification

You will indemnify, defend, and hold us harmless from any third-party claim — including any claim by a client whose business profile or location you connect to the Service — arising out of (a) your breach of the representations in Section 3, (b) content you create, schedule, approve, or publish through the Service, or (c) your use of the Service in violation of these Terms or applicable law.

12. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination (including Sections 4, 7, 9, 10, 11, and 13) will survive.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

14. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date above. Material changes will be communicated to account holders by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
